VAM — Terms of Use and End User License Agreement

1. Who we are, and what this covers

VAM (“the App”) is published by CrackedPackz, a sole proprietorship located in the State of Florida, United States (“we”, “us”, “VAM”).

These Terms are a binding agreement between you and CrackedPackz. They are not an agreement with Apple. By creating an account, or by using the App, you accept them. If you do not accept them, do not use the App.

You must be at least 16 years old to create an account, and if you are under 18 you may use VAM only with the consent and supervision of a parent or legal guardian who accepts these Terms on your behalf. VAM is a tool for people running a business at trading-card events; it is not intended for children.

Note for App Store Connect (delete before publishing): this minimum age is why the app’s age rating is overridden to 16+. See docs/LISTING.md § Age rating. Apple requires that where a EULA sets a minimum age above the calculated rating, the rating be overridden to match.

2. What VAM does — and what it does not do

VAM records transactions that have already happened between you and another person, in cash, in the physical world. It is a ledger, a stock list, and a way to talk to the other vendors working the same show.

VAM is not a marketplace. No payment is taken through the App for cards. There is no checkout, no cart, no order, and no payment processor in it. Nothing is shipped. An “ask price” you publish to an event floor is information for another vendor standing in the same hall — it is not an offer capable of acceptance through the App, and we are not a party to, broker of, or escrow for any deal you strike.

Every transaction you make with another person is between you and that person. You are responsible for the goods you sell, the goods you buy, their authenticity, their grading and condition, your own pricing, and your own taxes. We are not.

3. Your account

You need an account because VAM is inherently multi-user. You may create one with Sign in with Apple or with an email one-time code.

You agree to give accurate information, to keep your access to your device and email secure, and not to share your account. You are responsible for everything done under your account, including by any staff member you grant a seat to.

You may delete your account at any time, from inside the App, in three taps: the account button → Account → Delete account. Deletion is immediate. What is erased and what is retained in anonymized form is described in the Privacy Policy, docs/PRIVACY.md. Deleting your account does not cancel an App Store subscription — see §7.

4. Your content

“Your Content” means everything you put into VAM that another person can see: your business name, handle, avatar and profile text; the inventory listings you publish to an event floor, including your ask prices and your own photographs of your own cards; your chat messages, direct messages and image attachments; and the announcements you post if you run an event.

You keep ownership of Your Content. You grant us a non-exclusive, royalty-free, worldwide licence to host, store, reproduce and display it — only as far as is needed to operate the App: showing your listings to the other vendors at an event you joined, delivering your messages to the channel you sent them to, and backing up and restoring your own data. We do not sell Your Content, we do not license it to anyone else, and we do not use it to train anything.

You promise that Your Content is yours to post, that it does not infringe anyone’s rights, and that photographs you upload are photographs you took, of cards you actually have.

5. Zero tolerance for objectionable content and abusive users

This section is the one you accept by ticking the box at sign-up, and we enforce it literally.

There is zero tolerance for objectionable content and for abusive behaviour toward other users. You agree not to post, send, publish or transmit anything that is:

• harassing, threatening, bullying, stalking or intimidating;
• hateful, or that attacks or demeans a person or group on the basis of race, ethnicity, national origin, religion, sex, gender, gender identity, sexual orientation, disability, age or any other protected characteristic;
• sexually explicit, pornographic, or sexualizing a minor in any way;
• violent, gory, or advocating or threatening violence or self-harm;
• defamatory, or knowingly false in a way that damages another vendor;
• an impersonation of another vendor, business, organizer or of VAM;
• unlawful, or a solicitation to do something unlawful — including the sale of counterfeit, stolen, or knowingly misrepresented cards;
• fraudulent: fake listings, prices entered to manipulate the realized-price data, scam links, phishing, or any attempt to get another vendor to send money or goods under false pretences;
• spam, bulk advertising, chain messages, or repeated unsolicited contact with a vendor who has not engaged with you;
• infringing of anyone’s copyright, trademark or other rights — including publisher card art, which must never be uploaded; photograph your own card;
• malware, or any attempt to probe, scrape, overload or break the service.

You also agree not to abuse other users. Harassment of another vendor — in the event channel, in direct messages, or through repeated reports made in bad faith — is a breach of these Terms on its own, whatever the content of the message.

Consequences. We may remove any content and suspend or permanently terminate any account that breaches this section, at our sole discretion, with no refund, and without prior notice. We may do this on a first offence. Serious cases — threats, sexual content involving minors, fraud — are referred to law enforcement.

5.1 Reporting — and our 24-hour commitment

Every message and every floor listing can be reported from inside the App: long-press a chat message → Report; on a listing, tap it → Report listing. Reporting is available to every user at every tier, free included, and is never behind a purchase. You can also email abuse@vamcards.app at any time.

We commit to reviewing every report, and the account behind it, within 24 hours of receiving it, and to removing the offending content or ejecting the offending user where the report is upheld. Where an event’s coordinator sees it first, they can act immediately within their own event.

5.2 Blocking

You can block any vendor: tap their name on the event roster → Block vendor. A block takes effect immediately and works both ways — their chat messages, their direct messages and their floor listings all disappear from your view, and they cannot start a conversation with you. Blocking is available to every user at every tier.

5.3 Removing your own content

You can delete your own chat messages, unpublish or delete any inventory listing, and delete your entire account and everything attached to it, at any time, from inside the App.

5.4 Event coordinators

If you create and run an event, you get moderation powers within that event only: you can delete any message in your event’s channel and remove any vendor from your roster, which instantly revokes their access to that event’s chat and floor. Those powers come with a duty to use them in good faith and not as a competitive weapon. Every moderation action is logged.

6. Prices, price data, and the absence of any guarantee

Read this section before you rely on a number in this App to buy a card.

VAM displays no third-party market price data. There is no price feed in this App. Every number you see is one of two things:

1. An ask price — typed by the vendor offering the card, whatever they feel like asking. We do not check it.
2. A realized price statistic — an aggregate of what VAM users reported that they actually sold that card for, at that event, that day.

Realized prices are user-reported. We do not verify them, and we do not guarantee them. They are self-reported by vendors, entered by hand, subject to typos, subject to condition and grading differences we do not capture, drawn from a small and non-random sample, and deliberately aggregated and suppressed for privacy — we show a median and a range only, and we show nothing at all below three independent observations. A VAM price statistic is not an appraisal, not a valuation, not a buylist, not investment advice, and not a representation that any card can be bought or sold at that price.

You alone decide what to pay and what to charge. Any loss you take on a transaction is yours. To the fullest extent the law allows, we disclaim all liability for decisions made in reliance on any number displayed in the App.

Card names, set names, set codes and collector numbers are used nominatively — to identify which card you are holding — and are the trademarks of their respective owners. VAM is not affiliated with, endorsed by, or sponsored by any game publisher. We ship no publisher card art. Publisher-specific notices, including the one Riot Games requires, are in the Privacy Policy and in the App under Account → Legal & Safety.

7. Subscriptions, trials, and how to cancel

VAM is free to use for the core ledger. Some features require a paid plan. All purchases are made through Apple’s in-app purchase; we never see or handle your payment details.

Auto-renewing subscriptions

Prices are for the United States storefront; local prices and currencies are set by Apple for other storefronts and are shown in the App before you buy.

• Payment is charged to your Apple Account at confirmation of purchase.
• Your subscription renews automatically at the same price and for the same period unless you cancel at least 24 hours before the end of the current period. Your Apple Account is charged for renewal within 24 hours prior to the end of the current period.
• A 7-day free trial is offered on the annual plans only, once per subscription group per Apple Account. If you have already used a free trial in this subscription group, you will be charged immediately. If you do not cancel at least 24 hours before the trial ends, the trial converts to a paid subscription automatically. Any unused portion of a free trial is forfeited when you buy a subscription.
• To cancel, open Settings → [your name] → Subscriptions on your iPhone, or use the link under Account → Manage plan in the App. Cancelling takes effect at the end of the current paid period; you keep the features until then. You cannot cancel a subscription by deleting the App or by deleting your VAM account.
• Upgrades and downgrades happen within one App Store subscription group: moving up takes effect immediately with Apple prorating the difference; moving down takes effect at the next renewal.

The Show Pass — a one-time purchase

The Show Pass is $4.99 USD and unlocks Plus features for 7 days from the moment of purchase. It is a non-renewing purchase: it does not renew, it will not charge you again, and nothing needs to be cancelled. When the 7 days are up, the account returns to Free. Buy another whenever you work another show.

Refunds

All purchases are handled by Apple, and all refunds are Apple’s to give. We cannot issue, reverse or influence a refund. Request one at https://reportaproblem.apple.com. Except where the law of your jurisdiction requires otherwise, purchases are non-refundable and partial periods are not refunded.

What happens if a plan lapses

Nothing of yours is deleted, ever, because a subscription ended. Ledger history older than 30 days re-blurs but is not removed; inventory rows above the free limit stay readable, editable and sellable, and only new rows are blocked; published listings are hidden from the floor but not deleted; direct-message threads become read-only; exports and analytics re-lock. Events you already created stay fully yours to run. Resubscribe and everything returns exactly as it was.

Price changes

We may change prices. An increase never applies to a period you have already paid for, and Apple will ask for your consent before charging a higher renewal price, in the manner Apple requires.

8. Acceptable use of the service itself

You agree not to: reverse engineer, decompile or tamper with the App; access the service by any means other than the App; scrape, bulk-export or harvest other vendors’ listings, prices or profiles; attempt to de-anonymize the realized-price statistics or to identify which vendor made a particular sale; enter false transactions in order to move those statistics; circumvent any tier limit or paywall; probe, load-test or attack our infrastructure; resell or sublicense access to VAM; or use the App to build a competing product.

We may suspend or terminate access for any breach of this section.

9. Availability, changes, and termination

VAM is offline-first and keeps working with no signal, but the parts that need a server — floor, chat, sync, purchases — need one. We do not guarantee uninterrupted or error-free operation. We may change, suspend or discontinue any feature. If we discontinue the service entirely, we will give reasonable notice and a way to export your own data.

You may stop using the App at any time. We may terminate your access for breach of these Terms. Sections 2, 4 (the licence you granted, as far as content already delivered to other users), 6, 10, 11 and 12 survive termination.

10. Disclaimers and limitation of liability

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. We do not warrant that the App will be uninterrupted, secure or error-free, that data will not be lost, or that any price, statistic, catalog entry or piece of content displayed in the App is accurate, complete or current.

We are not responsible for the conduct of other users, online or in person, or for any transaction, dispute, loss or injury arising between you and another user or event organizer.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US THROUGH IN-APP PURCHASE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50). WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST SALES, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. Where that is so, the exclusions and limitations above apply only to the extent permitted, and nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be limited.

Indemnity. You agree to indemnify and hold harmless CrackedPackz and its owner from any claim, demand, loss or expense (including reasonable legal fees) arising out of Your Content, your use of the App, your transactions with other users, your breach of these Terms, or your violation of any law or of anyone’s rights.

11. Minimum terms required by Apple

These provisions are included because Apple requires every custom EULA to contain at least these terms, and because Apple is entitled to enforce them.

(a) Acknowledgement. You and we acknowledge that this Agreement is concluded between you and CrackedPackz only, and not with Apple. Apple is not responsible for the App or its content. This Agreement does not provide for usage rules for the App that conflict with the Apple Media Services Terms and Conditions, and in the event of a conflict those terms govern. CrackedPackz, not Apple, is solely responsible for the App and its content.

(b) Scope of Licence. We grant you a non-transferable licence to use the App on any Apple-branded products that you own or control, and as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions, except that the App may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing. This licence is for personal and internal business use; you may not distribute or make the App available over a network where it could be used by multiple devices at the same time.

(c) Maintenance and Support. CrackedPackz is solely responsible for providing any maintenance and support services for the App, as specified in this Agreement or as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App. Reach us at matthewmendes18@gmail.com.

(d) Warranty. CrackedPackz is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be CrackedPackz’s sole responsibility.

(e) Product Claims. CrackedPackz, and not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and use of it, including but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

(f) Intellectual Property Rights. In the event of any third-party claim that the App or your possession and use of it infringes that third party’s intellectual property rights, CrackedPackz, and not Apple, will be solely responsible for the investigation, defence, settlement and discharge of any such infringement claim.

(g) Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

(h) Developer Name and Address. Questions, complaints and claims with respect to the App should be directed to: CrackedPackz, State of Florida, United States — matthewmendes18@gmail.com (safety and abuse: abuse@vamcards.app).

(i) Third Party Terms of Agreement. You must comply with applicable third party terms of agreement when using the App.

(j) Third Party Beneficiary. You and we acknowledge and agree that Apple, and Apple’s subsidiaries, are third party beneficiaries of this Agreement, and that, upon your acceptance of the terms and conditions of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third party beneficiary hereof.

12. Governing law, disputes, and general

Governing law. These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules, except that the U.N. Convention on Contracts for the International Sale of Goods does not apply.

Venue. You and we agree to the exclusive jurisdiction of the state and federal courts located in Broward County, Florida, for any dispute not resolved informally — except that either party may bring an individual claim in small claims court, and either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.

Talk to us first. Before filing anything, email matthewmendes18@gmail.com and describe the problem. Most things are fixable in a day.

Changes to these Terms. We may update them. Material changes are announced in the App and by a change to the “Last updated” date above, and — where the change affects your rights — you will be asked to accept the new version before continuing. Continuing to use the App after a change means you accept it.

Entire agreement, severability, waiver. These Terms and the Privacy Policy are the entire agreement between you and us about the App. If any provision is found unenforceable, the rest stays in force. Our failure to enforce a provision is not a waiver of it.

Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets, on notice to you.

VAM is a product of CrackedPackz. VAM is not affiliated with, endorsed by, or sponsored by Wizards of the Coast, The Pokémon Company, Bandai Namco, Riot Games, Ravensburger, or any other game publisher, nor with any trading-card marketplace. All card names, set names and game names are the trademarks of their respective owners and are used here only to identify the physical cards our users own.
